The Canadian Women’s Club of Atlanta By-laws

1. CLUB NAME:  This organization shall be known as the Canadian Women’s Club of Atlanta.  


 2. OBJECTIVE:  The primary object of this club shall be to promote fellowship and social association with its Members.  


 3. ELIGIBILITY FOR MEMBERSHIP:  Those eligible for membership are:
1.        Women born in Canada
2.       Women with Canadian ancestry
3.       Women who are naturalized Canadians
4.       Women who are, or have been, married to Canadians.


EXECUTIVE BOARD:

4.1  THE GOVERNING POWERS of the Club are vested in the Executive Board. This board shall consider and control all permanent matters, financial disbursements and all matters that relate to the Club. The Board shall fill vacancies in all offices.

4.2  ELECTION OF OFFICERS:

    4.2.1  At the regular meeting in February, a Nominating Committee of two active members shall be appointed by the Past President. The Nominating Committee shall clearly understand each officer’s responsibilities and be able to describe such duties to nominees.

    4.2.2  Nominations for candidates to stand for election to the Executive Board may be submitted by any member of the Club from the regular February meeting until the regular March meeting.

    4.2.3  The Nominating Committee shall contact all nominees to ensure that they will attend a majority of General Meetings and Executive Board Meetings, and to explain the duties of the position for which they have been nominated. The Committee shall report at the regular meeting in April the list of new Officers to be voted by a show of hands.

    4.2.4  The Officers elected at the April meeting shall hold office for one year and they shall be eligible for re-election to the same office for more than one consecutive term. The Executive Board may appoint Officers to finish out terms of vacant positions.

    4.2.5  The installation of new Officers shall take place at the final meeting of the Club year, usually in May.

4.3  THE ELECTED OFFICERS OF THE CLUB shall be: President, Vice-President of Programs, Vice-President of Social, Vice-President -  Membership, Secretary, & Treasurer. Those officers and the Past President shall constitute the Executive Board.

Executive Board Positions: 

President
The President shall preside over all meetings of the Club and the Executive Board. She shall call all special meetings and have general supervision of the affairs of the Club. She shall not hold a position deemed in conflict with her office during her term.

Past President
The Past President shall serve as an advisor to the new executive. In February of each year, the Past President shall appoint two active members to a Nominating Committee which shall be responsible to solicit members to serve on the following year's executive board, and shall act as their advisor.

Vice-President (Programs) 
The Vice-President, Programs shall be responsible for planning programs (including lunch arrangements for external meetings), speakers, and socials, and may establish ad-hoc committees to handle them. In the absence of the President, the Vice-President of Programs shall perform her duties.

Vice-President (Social) 
The Social Vice- President is responsible to arrange food preparation and clean-up at general meetings which are held in members' homes, and at the annual reception at the Consular residence. She may establish ad-hoc committees to assist with these duties.

Treasurer
The Treasurer shall collect, deposit, and disburse the funds of the Club, and shall sign all cheques and contracts authorized by the Executive Board. She shall report monthly to the Executive Board. The Treasurer’s books shall be closed after the May meeting and audited by a Public Accountant or TWO members of the Club appointed by the Executive Board.

Secretary 
The Secretary shall keep a record of the proceedings of each meeting of the Club and the Executive Board. She shall conduct the general correspondence of the Club. She shall record any changes in the by-laws approved by the Membership.

Vice-President, Membership
The Membership Chairperson shall keep a current list of all members, their addresses and telephone numbers. She shall be responsible to deposit all membership dues to the Club bank account, and shall forward an ongoing total of all membership dues to the Treasurer. She shall handle inquiries from prospective members. She shall complete a new directory of the paid membership, which will include any changes to the by-laws and standing rules of the Club. The directory will be published in October of each year.


 5.  FINANCIALS:

    5.1  The fiscal year shall begin with the installation of Officers at the final meeting of the Club year in May.

    5.2  Banking: The Treasurer, President, and Membership Chairman shall be signing officers on the Club bank account.

    5.3  Budget:

           5.3.1  The Club budget shall be established by the executive at the beginning of each fiscal year.

           5.3.2  Any member of the Club who is planning to spend money on behalf of the Club, or to request reimbursement for expenses outside of budget items, shall obtain approval from the President prior to incurring the expense.

6.  MEMBERSHIP DUES: 

    6.1  Each member resident in the Atlanta area, including surrounding counties, shall pay annual dues of $20.00.  Members-at-large (those living outside of the greater Atlanta area & its surrounding counties) shall pay annual dues of $10.00.

   6.2  Dues are due and payable by September 30th of each year.

    6.2  Members whose dues are not paid by September 30th will not be included in the printed Club listing. Once their dues are received, their name will be included in the membership roster in the Club Web site.

 7.  MEETINGS:

    7.1  The regular meeting of the Club shall be held on the third Wednesday of each month from September to May inclusive.  The December meeting will be held the Wednesday of Festival of Trees week.  Special meetings of the Club may be called at any time by the President.

    7.2  A majority of members present at a general meeting of the Club shall constitute a quorum.

    7.3  A majority of the Executive Board at an Executive Board meeting shall constitute a quorum.  

     7.4  Members of the Board of Directors, as well as the hostess, will not be required to pay the in-house meeting fee.

 


8.  COMMUNITY INVOLVEMENT and CHARITABLE DONATIONS:

    8.1  General
        8.1.1  The Club recognizes that many of its members are involved in a variety of very worthwhile charitable and community service efforts.

        8.1.2  While the Club can not directly support these causes financially due to the very limited membership funds raised, individual members may wish to provide support to another member's cause. Accordingly, the Club is pleased to provide a forum to assist with the exchange of information.

        8.1.3  Any member wishing to make their cause known to the Club members may do so through the Community Liaison Officer who will arrange for time to present the cause at a Club meeting at her discretion.

    8.2  Festival of Trees, Atlanta

        8.2.1  The Club exhibits annually in the Festival of Trees held in Atlanta in order to:

  • Provide information to the public about Canada and to promote public interest in Canada
  • Provide contact information to promote membership in the Club
  • Provide contact information about any organization providing the Club with resources to assist with the exhibit.

        8.2.2  Notwithstanding that proceeds from the sale of the tree exhibited in the Festival are directed by the Festival organizers to a charitable cause, this effort is deemed to be, for Club purposes, for promotional, public affairs and cultural exchange purposes only.


 9.  SOLICITATION:

    9.1  The membership book is a private and confidential list not to be used for the purposes of solicitation by either members or non-members, unless specifically authorized by individual members on the membership form.

    9.2  The election to receive solicitation from another Club member may be changed at any time by contacting the Membership Chairperson.

    9.3  Members wishing to promote their own business may submit a written request to the Community Liaison Officer for consideration.


10  AMENDMENTS TO BY-LAWSThe by-laws of the Club may be amended at any meeting by a two-thirds vote of the members present and voting, providing the proposed amendments were read at the previous meeting. The Secretary shall record and date such amendments.

 


11.  DISSOLUTION OF THE CLUB:  In the event of the dissolution of the Club, the money in the treasury after all disbursements have been made shall be donated to a charitable cause in the community at the discretion of the Executive Board.
